This session features experts on professional conduct and limited liability company practice, addressing common ethical quandaries encountered in drafting limited liability company operating agreements.  Among the questions and dilemmas the panelists will cover are: whether a lawyer who does not practice tax law can and should draft limited liability company operating agreements, how a lawyer properly identifies the client in an engagement that includes drafting a limited liability company operating agreement, and the extent to which Tennessee lawyers can ethically provide advice to clients on the law of Delaware or other states—or to members who reside outside of Tennessee—in connection with the drafting of limited liability operating agreements.

The distinctions between what was allowed to be performed by a non-lawyer v. those tasks to be done by a lawyer were not as clear as I expected. I also found it interesting to some degree, that this is not an area of the law in which you would want to learn as you go to gain competence (if you are not in a firm or setting where you have other experts on hand) but on the other hand, with the numerous implications of other issues involved in LLC formation, it does seem to make some sense. This really highlighted the differences lawyers face when practicing alone or in a small firm v. practicing in a large firm with various concentrations covered.

Good overview of the ethics of LLC agreements.

Relevant and detailed enough. I learned something.

I was hoping this was more about formation and drafting of LLCs, and not entirely about the rules of professional responsibility.

This seminar brought up some interesting issues that i had not faced and so had not considered, particularly in regards to representing multiple parties in creating a business association and especially in crafting business association documents in one state using another state's laws.

Speakers had good rapport and very broad depth of knowledge of the subject matter!
