Biography

Josh is a member of the firms' Corporate and Tax Practice group with a focus on domestic and international taxation, mergers & acquisitions, venture capital, early-stage and start-up companies, private equity and corporate finance. He advises clients worldwide on a wide-range of domestic and cross-border transactional and business-related issues. Josh's experience includes structuring and executing transactions involving foreign direct investment (FDI) into the U.S. and U.S. investment overseas. He also has significant experience advising businesses and individuals on global personnel and employment issues, including taxation of U.S. expatriates and foreign employees in the U.S. Josh has represented borrowers and lenders in various domestic and cross-border financial transactions, including senior secured and subordinated leveraged and acquisition financings, asset-based financings and restructurings. In addition, Josh has represented issuers, underwriters, private equity and investment banking clients on a number of SEC-registered public offerings and exempt private placements. Josh's background also includes experience in global mergers and acquisitions, divestitures, and joint ventures, as well as corporate governance and regulatory matters. Prior to joining Burr, Josh worked in the New York and London offices of Shearman & Sterling and served as General Counsel for a New Mexico energy company managing the financing and development of natural gas generation facilities. Josh received his J.D. from the University of Chicago Law School and his LL.M. in Taxation from the University of Florida. He is licensed in Tennessee, New York, Delaware, and New Mexico.
