
Emily Burrows is a Member at Bass, Berry & Sims, where she advises companies on a wide-range of business and technology-related transactions, including the intellectual property components of commercial transactions involving the development, transfer and licensing of technology assets. She leads the firm’s Artificial Intelligence team, with particular emphasis on negotiating agreements for the license and implementation of new AI tools and services, advising on the unique contractual and regulatory considerations at hand and crafting appropriate terms to allocate risk. Emily is a certified Artificial Intelligence Governance Professional (AIGP), issued by The International Association of Privacy Professionals (IAPP).
Emily frequently advises clients on the structure and negotiation of licensing arrangements; information technology services agreements; outsourcing arrangements; strategic alliance, collaboration and joint venture agreements; manufacture and supply agreements; distribution and reseller arrangements; development, consulting and professional services agreements; and other transactions involving the commercial exploitation of technology and intellectual property. She also regularly oversees significant intellectual property due diligence evaluations in the context of acquisitions of technology-focused companies and prepares and negotiates intellectual property and technology agreements in spin-outs and other acquisition transactions.
